Shenzhen WFOE Registration Preferential Package SZLLC2015 (Consultation Service)

This package is applicable to the case where a foreign investor applies to register a limited liability company (WFOE) in Shenzhen, China for the purpose of carrying out business information consultation, project investment consultation and enterprise management consultation service etc. The registration costs will be increased accordingly if your business activities need special approval.

Registration Costs |
|
Our preferential package price for setting up a consultation service WFOE in Shenzhen are USD2,600, which include the government charges incurred during the registration process. |
|
|
|
The service items covered in the foregoing package include: |
|
(1) The registered address service for the first year. |
|
(2) Name availability search. |
|
(3) Reservation of proposed company name. |
|
(4) Project approval. |
|
(5) Application for WFOE business licence. |
|
(6) Application for approval and carving of company seals. |
|
(7) Application for organization code and certificate. |
|
(8) Tax registration |
|
(9) Foreign exchange registration. |
|
(10) Opening of one capital account and one RMB basic account. |
|
(11) Finance registration. |
|
NOTE: |
|
(1) |
The above price is exclusive of tax. The Value Added Tax and Surcharges of 7.5% would be applicable if Chinese tax receipt (Fapiao) is required. |

(2) |
The price stated above also does not cover the translation costs for translating the documents prepared by you from English to Chinese or translation of registration documents from Chinese to English. The cost for the above translation will be quoted separately upon request. |

(3) |
The price stated above also does not cover the legalisation of the identity documents of the shareholder/investor. As required by the regulations, the identity documents of the shareholder/investor are required to be legalised by the Chinese Embassy/Consulate in the country where the shareholder/investor is registered/resided.
You, as investor, are responsible for arrangement of the legalisation of the identity documents of the shareholder/investor. However, if the company applying to set up the WFOE is a Hong Kong company, then we could also assist to arrange the legalisation of the incorporation documents at a cost of USD900 (tax exclusive). |
2. |
Required Documents and Materials |
|
The following documents and materials should be prepared by you before submitting an application for registration: |
|
(1) |
Two sets of original legalized identity or incorporation evidence for the investor (i.e. passport for individual foreign investor and Certificate of Incorporation and/or Registration Certificate for corporate foreign investor, and board resolution on the appointment of the legal representative who will sign relating documents on behalf of the investor). The investor’s identity or incorporation document shall be legalised by the Chinese Embassy or Consulate in the country where the investor is resided or registered.

(2) |
One set of original credit standing certificate (a banker’s reference letter) of the WFOE investor issued within 6 months, which shall indicate the name, account number and credit standing of the investor and the balance of the account (the deposit shall be not be less than the registered capital of the WFOE).
|

(3) |
The name, address and/or place of registration, telephone and fax number of the investor.
|
|
(4) |
The name, nationality and position of the legal representative (or the name and nationality of the managing director) of the investor.
|
|
(5) |
The proposed name of the WFOE. Please provide the proposed name and 2 alternatives (the company name must be in Chinese, the English name cannot be registered ).
|
|
(6) |
A summary of the proposed scope of business and scale of business.
|
|
(7) |
The total amount of investment in the WFOE, including: |
|
|
a. The amount of the registered capital; and b. The method and time limit of capital contribution.
|
|
(8) |
The form of organisation, management structure (including the director, general manager and supervisor) and the legal representative of the WFOE. The photocopies of the identity certification (i.e. passport for foreigners) of the director, general manager, supervisor and legal representative. The resident address and Tel. No. of the proposed legal representative.

(9) |
The name and address of your favourite opening bank for the WFOE. Please be noted that the original passport / ID Card and/or mainland travel permit of the legal representative of the WFOE shall be presented to the bank for verification purpose. |

Estimated Time Frame |
|
It is estimated that the whole registration process for a consultation service WFOE in Shenzhen would take around 1-2 months. The table below shows the estimated time frame for each of the steps for the registration process.
